These Terms of Service ("Terms") govern your access to and use of AI PM Studio and related services (the "Service") provided by Clearpane, Inc. ("AI PM Studio," "we," or "us"). By creating an account or using the Service, you ("User" or "you") agree to these Terms.
AI PM Studio is an AI-powered platform for product managers, offering tools to analyze AI features, evaluate use cases, and generate product artifacts — including the AI Feature Critic, AI Use Case Evaluator, and AI PM Agent.
The Service is currently in private beta. Features, pricing, and availability may change as the platform matures. We will provide reasonable notice of material changes.
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@aipmstudio.app if you suspect unauthorized access.
All content you submit to the Service — including PRDs, feature descriptions, product concepts, screenshots, and related materials ("User Content") — remains your property. These Terms do not grant Clearpane, Inc. any ownership rights in your User Content.
You grant Clearpane, Inc. a limited, non-exclusive license to access, process, and transmit your User Content solely to provide the Service to you, including sending it to our AI inference providers to generate the requested outputs. We will not use your User Content for any other purpose without your explicit consent.
AI-generated outputs produced by the Service based on your User Content (reports, critiques, evaluations, artifacts) are provided to you for your use. You are responsible for reviewing outputs before relying on them in material product or business decisions.
You represent that you have the right to submit any User Content you provide, and that doing so does not violate any third-party intellectual property rights, confidentiality obligations, or applicable laws.
Upon account deletion, we will delete your User Content and generated reports within 30 days unless a longer retention period is required by law. You may also request deletion of specific content at any time by contacting us.
Access to AI tools is governed by a credit system ("Studio Credits"). Credits are consumed each time you run a tool analysis, based on the tool's complexity as described on our pricing page.
Free accounts receive a monthly Studio Credit allowance as described on the pricing page. Unused monthly credits do not roll over.
You may subscribe to a Pro plan or purchase additional credit packs ("Top-Ups") at the prices listed on our pricing page. Purchased credit pack credits do not expire and are consumed before monthly allowance credits. Monthly subscription fees are non-refundable except as required by law.
We may change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

Outputs generated by AI PM Studio — including feature critiques, use case evaluations, product strategies, roadmaps, user stories, and other artifacts — are produced by AI models and are provided for informational and productivity purposes only. They reflect AI-generated analysis, not professional product management, legal, technical, or business advice.
You are solely responsible for evaluating, validating, and acting on any AI-generated output. Clearpane, Inc. does not warrant the accuracy, completeness, or fitness for any particular purpose of any output generated by the Service.
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential.
Your User Content is your Confidential Information. Clearpane, Inc.'s proprietary technology, AI models, pricing, and roadmap are Clearpane, Inc.'s Confidential Information.
The Service, including its software, algorithms, AI models, design, and documentation, is owned by Clearpane, Inc. and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service or any part of it to you.
You retain all rights to your User Content, and AI-generated outputs produced based on your User Content are yours to use, subject to any terms imposed by underlying AI providers.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Clearpane, Inc. does not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated outputs are provided for informational purposes only and should not be relied upon as the sole basis for material product or business decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEARPANE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL CLEARPANE, INC.'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CLEARPANE, INC. IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Clearpane, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your User Content; or (c) your violation of any applicable law or third-party right.
These Terms apply from the date you first access the Service and continue until your account is terminated. Either party may terminate your account at any time, with or without cause.
Upon termination: (a) your access to the Service will cease; (b) Clearpane, Inc. will delete your User Content within 30 days consistent with Section 3.5; and (c) any outstanding subscription fees become immediately due. Unused credits are non-refundable upon termination.
Sections 3.1, 6, 7, 8, 9, 10, 11, and 13 survive termination.
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms will be resolved in the state or federal courts located in Santa Clara County, California, and each party consents to personal jurisdiction in those courts.
Before initiating formal legal proceedings, each party agrees to attempt to resolve disputes informally by contacting the other party in writing. If the dispute is not resolved within 30 days, either party may pursue formal proceedings.
These Terms constitute the entire agreement between you and Clearpane, Inc. with respect to the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
We may update these Terms from time to time. We will notify you of material changes with at least 14 days' notice. Continued use of the Service after the effective date of any change constitutes acceptance.
